Certificate of Incorporation Shechinah Third Temple under section 402 of the Not-for-Profit Corporation Law IT IS HEREBY CERTIFIED THAT: (1) The name of the corporation is SHECHINAH THIRD TEMPLE, INC. (2) The corporation is a corporation as defined in subparagraph (a)(5) of section 102 (Definitions) of the Not-for-Profit Law. (3) The purpose or purposes for which the corporation is as follows: The Corporation is formed for the purpose of raising funds for the future building of the Shechinah Third Temple to be located in Israel. Because Jerusalem will be a rebuilt city to the south in Messianic Times, according to the biblical prophecies, the site of the Temple will not be in Jerusalem but will rather be established on vacated land north of Jerusalem. This “building fund” will encompass the following entities: a. It is anticipated that the land for the building of the Shechinah Third Temple will be gifted from the Government of Israel because of the historical significance of the Third Temple to the Jewish People. However, if this is not the case, the Corporation will be fully prepared to purchase the land using monies generated from its fundraising activities. b. Under the guidance of its Board of Directors consisting of Thirty-Six individuals who are supremely righteous Jewish leaders from the lay and rabbinical population, the Building Fund will be established for the all inclusive development of the Shechinah Third Temple at the appropriate time in the future. The three Directors of the Corporation listed at the end of this document shall be ex officio members of the Board of Directors. c. Funds will be allocated for architectural design and construction of both external and internal decorative structures as well as the maintenance of the Temple. The latter will in addition necessitate costs of Resources and Personnel assigned to carry out the religious and informative public functions of the Temple. d. In order to validate the charitable nature of Shechinah Third Temple as a place for all people, the Corporation may appropriate funds in the future as Travel Grants to provide opportunities to persons of all faiths to visit the Temple and become closer to God. e. It is felt that the spiritual, scholastic and historical activities of the Shechinah Third Temple will promote understanding and peace among the nations of the world. f. In furtherance of this charitable status, the Shechinah Third Temple Corporation shall be enabled under the Not-for-Profit Corporation Law to solicit funds from either individuals or companies in unlimited amounts beginning at one dollar. The Corporation shall be entitled to exercise all powers conferred upon it by the Not-for-Profit Corporation Law. g. The Corporation is organized exclusively for charitable purposes as specified in Section 501 (c) (3) of the Internal Revenue Code. The Corporation when approved shall not carry out any activity that would jeopardize its exemption from Federal Income Tax Status under the Code. h. The Corporation is not organized for pecuniary profit for financial gain and no part of its assets, income or profit shall be distributed to or inure to the benefit of any private individuals. Reasonable compensation, however, may be paid for services rendered to or for the Corporation in fulfillment of one or more of its purposes. The cost of such services will be in compliance with the regulations of corporations in New York State. The corporation, in furtherance of its corporate purposes above set forth, shall have all the powers enumerated in section 202 of the Not-for-Profit Corporation Law, subject to any limitations provided in the Not-for-Profit Corporation Law or any other statute of the State of New York. Nothing herein shall authorize this corporation, directly or indirectly, to engage in, or include among its purposes, any of the activities mentioned in Not-for-Profit Corporation Law, section 404 (b)-(u). (4) The corporation shall be a Type B corporation pursuant to section 201 of the Not-for-Profit Corporation Law. Set forth the names and addresses of at least 3 initial directors.
